1. Agreement to Terms
By accessing and using the services provided by MaxCredit ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms apply to all users of our website and services, including clients, visitors, and other users.
2. Services Description
MaxCredit provides software development services, including but not limited to:
- Web application development and design
- Mobile application development (iOS and Android)
- Cloud infrastructure and DevOps services
- Artificial intelligence and machine learning solutions
- Cybersecurity consulting and implementation
- Technical consulting and digital transformation services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.
3. Client Responsibilities
As a client of MaxCredit, you agree to:
- Provide accurate, complete, and current information when engaging our services
- Cooperate with our team and provide necessary materials, information, and access required for project completion
- Make timely payments as agreed upon in project contracts or service agreements
- Respect intellectual property rights and not use our services for any illegal or unauthorized purpose
- Maintain confidentiality of any proprietary information shared during the course of our engagement
4. Intellectual Property Rights
Unless otherwise specified in a written agreement, all intellectual property rights in the work product created by MaxCredit for a client shall be transferred to the client upon full payment of all fees. MaxCredit retains the right to use general knowledge, skills, and experience gained during the project for other purposes.
All content on our website, including text, graphics, logos, images, and software, is the property of MaxCredit or its content suppliers and is protected by international copyright laws. You may not reproduce, distribute, or create derivative works from any content without our express written permission.
5. Payment Terms
Payment terms will be specified in individual project agreements or service contracts. Generally:
- Projects may require an initial deposit before work commences
- Payment schedules may be structured as milestone-based or monthly installments
- All fees are due within the timeframe specified in the agreement
- Late payments may incur additional charges as specified in the agreement
- We reserve the right to suspend or terminate services for non-payment
All prices are quoted in the currency specified in the agreement and are exclusive of applicable taxes unless otherwise stated.
6. Project Scope and Changes
Project scope will be defined in written agreements or statements of work. Any changes to the scope, timeline, or budget must be agreed upon in writing by both parties. Additional work requested beyond the original scope may result in additional fees and extended timelines.
7. Warranties and Disclaimers
MaxCredit warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. However, we make no warranties, express or implied, regarding:
- The uninterrupted or error-free operation of delivered software or services
- The compatibility of our solutions with all hardware, software, or systems
- The achievement of specific business results or outcomes
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, MaxCredit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use or inability to use our services
- Any unauthorized access to or use of our servers or data
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content
- Any interruption or cessation of transmission to or from our services
Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you to MaxCredit in the twelve (12) months preceding the claim.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes but is not limited to business plans, technical specifications, source code, financial information, and customer data.
Confidentiality obligations shall survive the termination of our agreement and continue indefinitely, except for information that:
- Was publicly known at the time of disclosure
- Becomes publicly known through no breach of this agreement
- Was independently developed without use of confidential information
- Is required to be disclosed by law or court order
10. Termination
Either party may terminate a service agreement with written notice as specified in the agreement. Upon termination:
- All outstanding fees become immediately due and payable
- Work completed up to the termination date will be delivered to the client
- Confidentiality obligations shall continue as specified in these Terms
- Each party shall return or destroy confidential information of the other party
11. Indemnification
You agree to indemnify, defend, and hold harmless MaxCredit, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your use of our services
- Your violation of these Terms
- Your violation of any rights of another party
- Any content or materials you provide to us
12. Dispute Resolution
In the event of any dispute arising from or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the Armenian Arbitration Association, or as otherwise agreed in writing.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Armenia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Yerevan, Armenia.
14. Modifications to Terms
MaxCredit reserves the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
16. Entire Agreement
These Terms, together with any project-specific agreements or statements of work, constitute the entire agreement between you and MaxCredit regarding the use of our services and supersede all prior agreements and understandings.
